OverDrivr Terms of Service

Welcome to OverDrivr ("OverDrivr," "we," "us," or "our"), a vehicle marketplace platform operated in Canada. These Terms of Service ("Terms") govern your access to and use of the OverDrivr website, mobile experience, and related services (collectively, the "Platform"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract under the laws of your province or territory to use the Platform. By using OverDrivr, you represent that you meet these requirements.

2. Account Registration

  • You must provide accurate, current, and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must notify us promptly of any unauthorized use of your account.
  • Accounts may be registered as a Buyer/Private Seller, Dealer, or Salesperson (joining an existing dealership account), and certain features may be restricted based on account type.

3. Nature of the Platform

OverDrivr is a listing and communication platform that connects private sellers, dealers, and buyers of vehicles. OverDrivr is not a party to any transaction between buyers and sellers. We do not own, inspect, warrant, or guarantee any vehicle listed on the Platform, and we are not a dealer, broker, or party to any sale.

Any agreement to buy or sell a vehicle is solely between the buyer and seller. Buyers are strongly encouraged to independently inspect any vehicle, obtain a mechanical inspection, verify vehicle history (e.g., via CARFAX or similar), and confirm legal ownership before completing a purchase.

4. Listings

  • Sellers are solely responsible for the accuracy of their listings, including vehicle condition, mileage, price, photographs, and history.
  • OverDrivr reserves the right to remove any listing that appears fraudulent, misleading, duplicated, or in violation of these Terms, at our sole discretion and without prior notice.
  • Dealers may be subject to additional terms under a separate Dealer Agreement.
  • Professional photography or content produced by OverDrivr for a listing remains the property of OverDrivr unless otherwise agreed in writing.

5. Messaging and Conduct

  • Our messaging system is intended to facilitate genuine buyer-seller communication. Abuse of the system — including spam, harassment, or repeated non-responsive inquiries — may result in account restrictions.
  • You agree not to use the Platform to: post false or misleading information; engage in harassment or discrimination; attempt to defraud another user; circumvent safety or verification features; or violate any applicable law.
  • We may, but are not obligated to, monitor messages or listings for compliance with these Terms.

6. Fees

Certain features of the Platform (e.g., dealer listings, premium placements) may be subject to fees, which will be disclosed to you before you incur them. Fees are non-refundable except as required by law or as otherwise stated at the time of purchase.

7. Disclaimers

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY LISTING OR USER-SUBMITTED CONTENT.

8. Limitation of Liability

To the maximum extent permitted by law, OverDrivr and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Platform or any transaction conducted between users, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Platform will not exceed the greater of CAD $100 or the amount of fees you paid to OverDrivr in the twelve (12) months preceding the claim.

Nothing in these Terms limits liability that cannot be excluded under applicable Canadian or provincial consumer protection law.

9. Indemnification

You agree to indemnify and hold harmless OverDrivr from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your listings, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may suspend or terminate your account at our discretion, with or without notice, for conduct that violates these Terms, is harmful to other users, or is otherwise inappropriate. You may close your account at any time.

11. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in British Columbia.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Platform or email. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
